TERMS & CONDITIONS

The following terms and conditions apply to all deliveries from factories unless any other written agreement between the parties has been established.

Payment
Payments are done through bank transfer to bank account belonging to TRAINAHEAD®. All transfer fees are undertaken by the buyer.

Delivery
Delivery of products is always according to INCOTERMS 2010 and mainly two delivery terms are offered:

DAT – Delivered At Terminal: TRAINAHEAD® is considered to have delivered when the goods, once unloaded from the arriving means of transport, are placed at the disposal of the buyer at a named terminal at the named port or place of destination.

DAP – Delivered At Place: TRAINAHEAD® is considered to have delivered when the goods are placed at the disposal of the buyer on the arriving means of transport ready for unloading at the named place of destination.

For both terms the buyer pays the customs duty taxes to local authorities.

Force Majeure
TRAINAHEAD® shall not be liable to CUSTOMERS for any failure to perform or any delay in the performance of obligations hereunder when such failure to perform or delay in performance is caused by an event of force majeure. The term “force majeure” shall include war, rebellion, civil disturbance, earthquake, typhoon, fire, flood, strike, lockout, labor unrest, acts of governmental authorities, shortage of materials, acts of God, acts of the public enemy and, in general, any other causes or conditions beyond the reasonable control.

Intellectual Property
Intellectual Property includes trade names, logos, branding, trademarks, patent, copyright as well as the ideas originating of TRAINAHEAD® or their CUSTOMERS on the Products which have not matured and which have not yet been registered. Intellectual Property also includes designs, models, moulds, videos, audio and information carriers or other appliances that TRAINHEAD® has made available to customers, or which TRAINAHEAD® has manufactured for CUSTOMERS.

Cancellation & Returns
Orders cannot be cancelled after any payment has been done by the buyer. Also products cannot be returned after any payment done by the buyer.

Non-conforming products
In case the proportion of Non-conforming products delivered is more than [1 %] then upon receiving notice, TRAINAHEAD® will provide the same quantity of qualified products for free of charge.

Product Quality Liability
In case that customers suffer a personal injury or a loss of property due to the defective Products or Non-conforming Products provided and results in third party claims for compensation, then TRAINAHEAD® shall be liable for the expenses.

Governing Laws
Danish law regulates the sale of TRAINAHEAD® products and any disputes are settled by the Danish courts.

The following terms and conditions apply to all deliveries from warehouse unless any other written agreement between the parties has been established.

Delivery
Delivery of goods from TRAINAHEAD® is considered done when the goods are physically delivered. Delivery time is approximately 1 to 3 working days in Denmark or 2 to 5 working days abroad, unless otherwise is agreed. Shipping costs are added to the invoice, depending on the size of order. Note that large shipments shipping costs are calculated based on volume, then the package size and the actual weight.

Payment
Payment is by invoice and is preferably sent by email after the customer has received the ordered goods. For shipments abroad goods are prepaid from 50 % to 100 %. Payment is due usually within 8 days after the invoice date.

Returns
TRAINAHEAD® offers a 14 day right of return, valid from the day you receive your goods. If you regret your purchase, TRAINAHEAD® shall be notified in writing within 14 days after receiving the goods. You will then be issued with all the appropriate information on how to return your parcel, including your return number. Returns can only be done in original packaging. Costs of returning goods will be undertaken by the buyer. By returning the name and address shall be written on a piece of paper together with the return number provided by TRAINAHEAD®.

Responsibilities
The responsibility for bought goods is transferred to buyer upon delivery. If the item is damaged upon receiving, the packaging shall be secured as intact as possible. The product is returned within 8 days to TRAINAHEAD® if possibly in original packaging and securely packed. Text, prices, dimensions, colours etc. are subject to changes. Any price, colour and design changes and other exogenous changes are subject to changes. Price changes may occur and we reserve the right to change prices without prior notice. Prices are subject to availability including backorders, delivery failures by suppliers, changes in product specifications and force majeure. Directions and instructions for using the product should always be followed, if supplied or contained on the packaging or in another form. For which ever kind of use TRAINAHEAD® or the dealer is not liable for outages of any kind.

Complaints
Any errors or shortcomings in delivery must be reported to TRAINAHEAD® within 8 days after delivery.

Warranty
There is basically no separate product warranty.

Confidentiality
Received information is treated confidential. There is not passed on any information about prices or other information to third party without consent.

Product liability
Customers / importers / buyers outside of the European Union are made aware of the condition that all product liability is transferred to the customer / importer / buyer outside of the European Union upon purchase. Therefore the customer / importer / buyer shall make sure to be proper insured at all times according to the geographical market dealing with products supplied by TRAINAHEAD®. TRAINAHEAD® will not be held responsible for any liability of any kind what so ever. Danish law regulates the sale of TRAINAHEAD® products and any disputes are settled by the Danish courts.
